Terms of Service

These Terms of Service ("Terms") govern access to and use of the Clockwork Venue website, applications, and services (collectively, the "Service"), owned and operated by Digital Visionworks LLC. By creating an account or using the Service, you agree to these Terms and our Privacy Policy.
1. Eligibility and Account Security
You must be at least 18 years old and authorized to act for the venue you register. Information supplied during signup must be accurate and current. Each user must use an individual account and protect their credentials. Tell us promptly if you believe an account has been compromised.
2. License and Acceptable Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your venue's internal business operations while your account remains in good standing.
You may not:
- Reverse engineer, decompile, or attempt to discover the Service's source code.
- Scrape, duplicate, resell, sublicense, or copy the Service without written permission.
- Use the Service to violate law, another person's rights, or the security of any system.
- Interfere with the Service, bypass access controls, or use another person's account.
3. Subscriptions, Trials, and Billing
Subscription payments are processed by Stripe. By starting a subscription, you authorize recurring charges to the payment method supplied at checkout.
- Trial: When checkout displays a 60-day trial, no subscription charge is made until day 61. The subscription then continues on the selected monthly or annual schedule unless canceled before the trial ends.
- Renewal: Subscriptions renew automatically at the end of each billing period until canceled.
- Cancellation: You may cancel through the Stripe billing portal. Cancellation takes effect at the end of the current trial or paid billing period unless Stripe states otherwise at the time of cancellation.
- Invoices: Receipts and invoices are available through the Stripe billing portal.
- Refunds: Fees already paid are non-refundable except where required by law or expressly agreed in writing.
- Taxes: You are responsible for applicable taxes and government fees not collected at checkout.
4. Pricing and Locked Rates
If checkout expressly states that a rate is locked for a venue while its subscription remains continuously active, we will honor that promise for the continuous subscription identified at checkout. Cancellation, non-payment, expiration, or a move to a materially different product or venue may end that eligibility. For subscriptions without an express locked-rate promise, we may change pricing with at least 30 days' notice before the change applies.
5. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access for non-payment, misuse, security risk, violation of these Terms, or legal requirements. After termination, we may retain limited records when required by law, needed to resolve disputes, or necessary for legitimate business purposes.
6. Service Availability and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL VISIONWORKS LLC DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL VISIONWORKS LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE CLAIM OR $100.
8. Indemnification
You agree to indemnify and hold harmless Digital Visionworks LLC and its operators from claims, liabilities, damages, losses, and reasonable expenses arising from your use of the Service or violation of these Terms.
9. Governing Law
Florida law governs these Terms without regard to conflict-of-law rules. State and federal courts located in Florida will have jurisdiction over disputes, except where applicable law requires otherwise.
